1. Agreement

These Terms of Service ("Terms") govern your use of HyperFiler, a Microsoft Outlook add-in ("the Software") provided by Hyper Holdings Ltd, a company registered in England and Wales ("we", "us", "our").

By installing or using HyperFiler you agree to these Terms. If you do not agree, do not install or use the Software.

2. Licence

Subject to payment of the applicable subscription fee and compliance with these Terms, we grant you a non-exclusive, non-transferable, revocable licence to use HyperFiler for your personal or internal business purposes during the subscription period.

You may not: sublicence, sell, or resell the Software; reverse engineer or decompile the Software; use the Software to build a competing product; or share your licence key with others.

3. Subscription and payment

HyperFiler is offered on a monthly or annual subscription basis. Pricing is as displayed on hyper-filer.com at the time of purchase. Payments are processed by LemonSqueezy acting as Merchant of Record, and are subject to their terms and conditions.

Subscriptions renew automatically unless cancelled before the renewal date. You may cancel at any time through your account or by contacting us at support@hyper-filer.com.

We offer a 14-day free trial for new users. No payment is required during the trial period.

4. Refunds

We offer a 30-day money-back guarantee for new subscribers. If you are not satisfied within 30 days of your first payment, contact support@hyper-filer.com for a full refund. No refunds are offered after 30 days except where required by applicable law.

5. Acceptable use

You agree to use HyperFiler only for lawful purposes and in accordance with these Terms. You must not use HyperFiler in any way that violates applicable laws or regulations, or that could damage, disable, or impair Microsoft's services.

6. Microsoft account requirements

HyperFiler requires a valid Microsoft 365 account. You are responsible for maintaining the security of your Microsoft account and for all activity that occurs under your account. We are not responsible for any loss or damage arising from unauthorised access to your Microsoft account.

7. Disclaimer of warranties

HyperFiler is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the Software will be error-free, uninterrupted, or free of viruses or other harmful components. We do not warrant that any errors will be corrected.

You acknowledge that email filing and deletion operations carry inherent risk and you are responsible for maintaining appropriate backups of important emails.

8. Limitation of liability

To the maximum extent permitted by applicable law, Hyper Holdings Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, or business interruption, arising from your use of or inability to use HyperFiler.

Our total liability to you for any claim arising from these Terms or your use of HyperFiler shall not exceed the amount you paid us in the 12 months preceding the claim.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under English law.

9. Data and privacy

Your use of HyperFiler is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using HyperFiler you consent to the data practices described in the Privacy Policy.

10. Intellectual property

HyperFiler and all associated intellectual property rights are owned by Hyper Holdings Ltd. These Terms do not transfer any intellectual property rights to you. You retain all rights to your email data and OneDrive files.

11. Termination

We may suspend or terminate your access to HyperFiler immediately if you breach these Terms, or for any other reason with 30 days notice. You may terminate your subscription at any time by cancelling through your account.

On termination, your licence to use the Software ends. Data stored locally on your device remains accessible to you.

12. Changes to these terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Software with at least 30 days notice before changes take effect. Continued use after the effective date constitutes acceptance of the updated Terms.

13. Governing law and disputes

These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms or your use of HyperFiler shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Before initiating any legal proceedings, you agree to attempt to resolve disputes informally by contacting us at legal@hyper-filer.com. We will attempt to resolve disputes within 30 days.

14. General

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Hyper Holdings Ltd regarding HyperFiler.
